TERMS AND CONDITIONS

Welcome to TechBridge Consulting Group LLC (“TechBridge”). By accessing or using our services, you agree to comply with and be bound by the following terms and conditions. Please read them carefully.

1. Services Provided

TechBridge Consulting Group LLC provides information technology consulting, managed IT s ervices, cybersecurity services, infrastructure management, system monitoring, cloud services s upport, and related technology services.

Services are provided on a best-effort basis unless otherwise defined in a written service agreement. TechBridge will make reasonable efforts to maintain service reliability, performance, and security but does not guarantee uninterrupted service or specific outcomes.

2. Managed Services and Subscriptions

Certain services may be delivered under recurring subscription or managed service agreements. These services automatically renew unless cancellation is provided in writing according to the terms of the applicable service agreement.

3. Payment Terms

Invoices are due upon receipt unless otherwise stated in writing. Failure to pay may result in suspension or termination of services until the account is brought current.

4. Third-Party Platforms and Services

TechBridge utilizes third-party platforms and service providers to deliver many services including, but not limited to:

• cloud infrastructure providers

• backup services

• cybersecurity and endpoint protection platforms

• monitoring and management platforms

• communication services

• hosting providers

While TechBridge carefully selects reputable vendors, TechBridge does not control the operation, security, or availability of these third-party platforms.

TechBridge shall not be responsible for service disruptions, outages, data loss, security incidents, or operational failures caused by third-party providers or systems beyond TechBridge’s control.

5. Client Responsibilities

Clients are responsible for maintaining appropriate user practices, password security, and compliance with recommended security measures. Failure to implement recommended security practices may increase risk exposure.

6. Security Recommendations and Risk Acceptance

TechBridge may provide recommendations regarding cybersecurity protections such as backups, multifactor authentication, endpoint protection, system updates, or other safeguards.

If a client declines or does not implement recommended safeguards, the client accepts the associated risks. TechBridge shall not be liable for damages or security incidents resulting from declined security recommendations.

7. Limitation of Liability

TechBridge Consulting Group LLC shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of services.

Total liability for any claim shall not exceed the amount paid for the applicable service during the preceding billing period unless otherwise required by law.

TechBridge shall not be liable for damages resulting from:

• cyberattacks or ransomware incidents

• third-party vendor failures

• internet service outages

• cloud service provider disruptions

• actions taken by users outside the control of TechBridge

8. Indemnification

Clients agree to indemnify and hold harmless TechBridge Consulting Group LLC, its employees, contractors, partners, and affiliates from claims, damages, or losses arising from misuse of services or violation of these terms.

9. Governing Law

These terms are governed by the laws of the state in which TechBridge Consulting Group LLC operates.

PRIVACY POLICY

TechBridge Consulting Group LLC is committed to protecting the privacy and security of personal information.

SMS MESSAGING POLICY

TechBridge Consulting Group LLC may send SMS text messages to authorized client contacts who have provided consent through a signed Messaging Opt-In Consent Agreement.

SMS messages may include:

• service updates

• appointment reminders

• support ticket communications

• outage notifications

• operational service alerts

TechBridge does not send marketing or promotional messages through this messaging program.

Message frequency varies depending on service activity. Message and data rates may apply depending on your mobile carrier.

Recipients may opt out at any time by replying STOP to any SMS message received.

For assistance, recipients may reply HELP or contact TechBridge support.

Mobile phone numbers collected for SMS communications are used only for service-related messaging and are not sold or shared with third parties for marketing purposes.

REFUND POLICY

TechBridge Consulting Group LLC may offer refunds for certain monthly services on a prorated basis when permitted by the applicable

service agreement.

Refund requests must be submitted in writing according to the cancellation terms defined in the service agreement.

Refunds, if approved, will be calculated based on the unused portion of the service period.

POLICY UPDATES

TechBridge Consulting Group LLC may update these policies periodically. Updates will be posted on this page and continued use of services constitutes acceptance of the revised policies.
